These Terms & Conditions, also referred to as the Terms of Service ("Terms"), govern your access to and use of the Marketra website, platform, products, software, services, digital marketplace, and related features.

By accessing or using Marketra, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Platform.

MARKETRA CC LLC is a single-member, member-managed limited liability company organized under the laws of the State of Delaware.

2. DEFINITIONS

For the purposes of these Terms:

"Marketra," "Company," "we," "us," and "our" refer to MARKETRA CC LLC and the Marketra Platform.

"Platform" means the Marketra website, marketplace, SaaS applications, software, APIs, tools, and related services.

"User" means any person or entity accessing or using the Platform.

"Buyer" means a User who purchases Digital Products or Services through the Platform.

"Seller" means a User who offers Digital Products or Services through the Platform, where such functionality is available.

"Content" means text, software, images, graphics, code, designs, trademarks, data, documentation, and other materials available through the Platform.

3. ACCEPTANCE OF TERMS

By accessing, registering for, purchasing from, selling through, or otherwise using the Platform, you confirm that:

You have read and understood these Terms;

You agree to be legally bound by these Terms;

You agree to comply with applicable laws and regulations;

You have the legal capacity to enter into a binding agreement; and

Any information you provide to Marketra is accurate, complete, and current.

If you are using the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

4. ELIGIBILITY

You must be at least 18 years old or the legal age of majority in your jurisdiction to create an account, purchase products, sell products, or use restricted services on the Platform.

Persons under the age of 18 may only use publicly accessible portions of the Platform under the supervision of a parent or legal guardian and may not create an account or conduct transactions unless permitted by applicable law.

Marketra reserves the right to refuse service, suspend access, or terminate accounts where eligibility requirements are not satisfied.

5. MARKETRA PLATFORM

Marketra operates an online technology platform that may provide access to:

Website templates and themes;

Source code and software applications;

Scripts and plugins;

UI kits and design assets;

Developer tools;

SaaS applications;

Digital resources;

Software licenses;

Marketra reserves the right to modify, suspend, discontinue, or introduce products, features, services, or functionality at its discretion.

6. USER ACCOUNTS

Certain features of the Platform may require you to create an account.

You agree to:

Maintain the confidentiality of your login credentials;

Not share your account credentials with unauthorized persons;

Immediately notify Marketra of suspected unauthorized access; and

Marketra may offer Digital Products and Services directly or facilitate transactions involving products offered by third parties or Sellers.

Unless otherwise expressly stated, Digital Products are provided electronically.

Digital Products may include:

Source code;

License keys;

Cloud-based access;

SaaS subscriptions;

APIs;

Digital assets;

Online tools.

Availability of Digital Products and Services may vary by location, payment method, legal requirements, and other factors.

8. LICENSE AND USE OF DIGITAL PRODUCTS

When purchasing or accessing a Digital Product, you receive only the rights expressly granted by the applicable product license.

Unless otherwise stated:

You do not acquire ownership of intellectual property;

You may not resell, redistribute, or sublicense the product without authorization;

You may not claim ownership of the original product;

You may not remove copyright or proprietary notices;

You may not copy or distribute products beyond the scope of the applicable license.

Each product may be subject to additional license terms provided by the product creator, Seller, or Marketra.

In the event of a conflict between these Terms and a specific product license, the specific product license may apply to that product to the extent permitted by law.

9. SELLER RESPONSIBILITIES

Where Marketra allows Users to sell products or services, Sellers are responsible for ensuring that their listings, products, services, and activities comply with:

Applicable laws;

Intellectual property laws;

Consumer protection laws;

Tax obligations;

Data protection laws;

Payment regulations;

Marketra policies.

Sellers represent and warrant that they have all necessary rights, licenses, permissions, and authority to offer their products or services.

Sellers must not upload, sell, distribute, or promote:

Stolen intellectual property;

Copyright-infringing materials;

Malware or malicious software;

Fraudulent products;

Illegal content;

Products designed to facilitate unlawful activity;

Content that violates applicable sanctions or regulations.

Marketra may remove listings or suspend Seller accounts where violations are suspected.

10. PRICES AND PAYMENTS

Prices displayed on the Platform may be listed in currencies supported by the Platform or its authorized payment service providers.

Payment processing may be provided by third-party payment service providers.

Depending on availability and jurisdiction, payment methods may include:

Bank transfers;

Payment cards;

Electronic payment services;

Other authorized payment methods.

Marketra does not guarantee the availability of any specific payment method.

By submitting a payment, you authorize the applicable payment provider to process the transaction.

You are responsible for ensuring that payment information provided by you is accurate and that you are authorized to use the selected payment method.

11. THIRD-PARTY PAYMENT PROVIDERS

Marketra may use regulated or authorized third-party payment processors to facilitate payments.

When you use a third-party payment provider, your transaction may also be subject to that provider's:

Terms and conditions;

Privacy policy;

Compliance requirements;

Verification procedures.

Marketra is not responsible for independent decisions made by banks, card issuers, payment processors, or other financial institutions, including decisions to:

Decline transactions;

Request additional verification;

Delay payments;

Freeze or restrict accounts;

Reverse transactions;

Require additional documentation.

12. REFUNDS AND DIGITAL PRODUCT POLICY

Because many products and services offered through Marketra are digital and may be delivered immediately, refunds may be limited after delivery, download, activation, or access.

Refund eligibility may depend on:

Whether a license key has been revealed or activated;

Whether a SaaS service has been accessed;

Nothing in these Terms limits mandatory consumer rights that cannot legally be excluded.

13. CHARGEBACKS AND PAYMENT DISPUTES

Users are encouraged to contact Marketra's support team before initiating a payment dispute or chargeback.

If a payment dispute is initiated, Marketra may:

Temporarily restrict the relevant account;

Suspend access to products or services;

Request supporting documentation;

Investigate the transaction;

Provide relevant transaction information to payment processors or financial institutions.

Fraudulent, abusive, or intentionally false chargebacks may result in account suspension or termination.

14. AML/CFT AND COMPLIANCE

Marketra is committed to maintaining appropriate measures to help prevent:

Money laundering;

Terrorist financing;

Fraud;

Sanctions violations;

Payment abuse;

Other unlawful financial activity.

Marketra may conduct compliance and risk-based reviews where appropriate.

To comply with applicable laws, regulations, contractual obligations, and payment provider requirements, Marketra may request additional information or documentation.

Such information may include:

Identity verification;

Proof of address;

Business registration documents;

Beneficial ownership information;

Source of funds information;

Source of wealth information;

Transaction-related information;

Other information reasonably required for compliance purposes.

Failure to provide requested information may result in delayed transactions, restricted access, suspension, or termination of services.

15. SANCTIONS AND PROHIBITED ACTIVITIES

You may not use the Platform in connection with activities prohibited by applicable laws, sanctions, or regulations.

Users must not use Marketra to:

Engage in money laundering;

Finance terrorism;

Commit fraud;

Evade sanctions;

Circumvent financial restrictions;

Use stolen payment credentials;

Conduct deceptive transactions;

Facilitate unlawful activity.

Marketra may restrict or terminate access where prohibited activity is suspected or identified.

Where legally required or reasonably necessary for compliance, Marketra may cooperate with competent authorities, payment providers, financial institutions, and other authorized parties.

16. INTELLECTUAL PROPERTY

The Platform and its Content, including but not limited to:

Logos;

Trademarks;

Software;

Website design;

Text;

Graphics;

Databases;

Platform functionality;

Technology;

Documentation,

are owned by Marketra or its licensors and are protected by applicable intellectual property laws.

You may not use Marketra intellectual property without prior written authorization except where expressly permitted by law.

17. USER CONTENT

Users may be permitted to submit, upload, publish, or otherwise provide Content through the Platform.

You retain ownership of your original User Content, subject to the rights necessary for Marketra to operate the Platform.

By submitting Content, you grant Marketra a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and process the Content solely as reasonably necessary to:

Operate the Platform;

Provide the Services;

Maintain security;

Comply with legal obligations.

You represent that you have all necessary rights to submit the Content.

18. PROHIBITED USE

You must not use the Platform to:

Interfere with Platform security;

However, no online service can guarantee absolute security.

You acknowledge that transmission of information over the internet involves inherent risks.

20. PRIVACY

Your use of the Platform is also governed by the Marketra Privacy Policy.

The Privacy Policy explains how Marketra collects, uses, stores, processes, and protects personal information.

By using the Platform, you acknowledge that your information may be processed in accordance with the Privacy Policy and applicable law.

Marketra does not control third-party services and is not responsible for:

Their security;

Their availability;

Their privacy practices;

Their products or services.

Your use of third-party services is subject to the applicable third party's terms and policies.

22. AVAILABILITY OF THE PLATFORM

Marketra does not guarantee that the Platform will always be available, uninterrupted, error-free, or free from security vulnerabilities.

The Platform may be temporarily unavailable due to:

Maintenance;

Technical issues;

Security measures;

Infrastructure failures;

Third-party service interruptions;

Events beyond Marketra's reasonable control.

Marketra may modify or suspend parts of the Platform when reasonably necessary.

23. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by applicable law, the Platform and Services are provided on an "AS IS" and "AS AVAILABLE" basis.

Marketra does not guarantee that:

The Platform will always operate without interruption;

All errors will be corrected;

Products will meet every User's requirements;

The Platform will be completely free of harmful components;

Information on the Platform will always be complete or current.

Nothing in these Terms excludes warranties that cannot legally be excluded.

24. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, MARKETRA CC LLC and its members, managers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, consequential, special, or punitive damages arising from the use of or inability to use the Platform.

This may include losses relating to:

Lost profits;

Lost data;

Business interruption;

Loss of goodwill;

Third-party service interruptions.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

25. INDEMNIFICATION

You agree to indemnify and hold harmless MARKETRA CC LLC and its members, managers, employees, contractors, and service providers from claims, liabilities, damages, losses, and expenses arising from:

Your violation of these Terms;

Your violation of applicable law;

Your infringement of third-party rights;

Your misuse of the Platform;

Fraudulent or unlawful activity conducted through your account.

26. SUSPENSION AND TERMINATION

Marketra may suspend, restrict, or terminate your access to the Platform if:

You violate these Terms;

Fraud is suspected;

Compliance concerns arise;

Required verification is not completed;

Required information is not provided;

Your activity presents a security or legal risk;

Marketra is required to do so by law.

Where appropriate, Marketra may provide notice of suspension or termination.

Termination does not affect obligations that by their nature should survive termination.

27. TAXES

Users are responsible for determining and paying taxes applicable to their purchases, sales, income, or other activities conducted through the Platform.

Sellers are responsible for complying with their applicable tax obligations.

Marketra may collect taxes where legally required.

28. ELECTRONIC COMMUNICATIONS

By using the Platform, you consent to receive communications electronically, including:

Account notifications;

Transaction confirmations;

Security notifications;

Compliance requests;

Legal notices;

Updates regarding the Services.

Electronic communications may satisfy legal requirements for written communications where permitted by law.

29. CHANGES TO THESE TERMS

Marketra may update these Terms from time to time.

The updated version will be posted on the Platform with an updated effective date.

Where required by applicable law, Marketra will provide additional notice of material changes.

Your continued use of the Platform after updated Terms become effective constitutes acceptance of the updated Terms, except where additional consent is legally required.

30. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any dispute shall be subject to the jurisdiction of courts having appropriate jurisdiction in accordance with applicable law.

31. SEVERABILITY

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

The invalid provision shall be modified to the minimum extent necessary to make it enforceable where permitted by law.

32. ENTIRE AGREEMENT

These Terms, together with the:

Privacy Policy;

AML/CFT Policy;

Applicable product licenses;

Refund policies;

Other policies expressly incorporated by reference,

constitute the agreement between you and MARKETRA CC LLC regarding your use of the Platform.
